Time is not of the essence and time limits provided are estimates only. We will incur no liability to you in respect of any failure to complete the Services, or any part thereof, by any agreed date.
FORCE MAJEURE – We will not be liable for any delay or failure to perform any of our obligations if the delay or failure results from events or circumstances outside our reasonable control including, but not limited to, acts of God, accidents, war, fire, strikes, lock outs, failure of any communications including telecommunications or computer system, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and we are entitled to a reasonable extension of our obligations.
You agree and understand that we are not responsible for any action you take or fail to take as a result of our Services, nor for any reliance you may place upon our Services, nor any consequences whatsoever during or as a result of our Services.
4. PAY-AS-YOU-GO PAYMENT & BILLING
(a) Pay-As-You-Go (or non-monthly) support, repair, project and consultancy services (onsite or remote) are subject to payment for services delivered via Money Transfer or Cheque made payable to Macwisdom Limited.
Services are charged on an hourly basis with a minimum 1-hour charge for onsite work and a minimum 30 minutes for telephone, email remote support, project or services carried out by Macwisdom.
Call out fee – there are no call out fees for travel starting point ‘us’ to end point ‘you’ that are within a 1 hour travel duration one way when calculated by us. Any additional Call out fees shall be agreed with client prior to commencement of travel. Additional costs agreed between Macwisdom & the customer prior to commencement (including call out fees) shall be added to the invoice on completion of onsite work.
Pre-payment blocks – Pre payment are subject to a minimum 5 hours at our current hourly rate + VAT. Pre-payments are subject to a preferential 10% discount.
We reserve the right to request pre-payment prior to commencement of ad hoc (Pay as You Go) or As Needed services or project work.
Additional costs – Any computer parts, equipment hardware or software required to carry out work will be chargeable. A quotation invoice will be provided to the client prior to commencement of work to be carried out. If the client agrees to purchase required procurement equipment Macwisdom will provide supplier details. If the client requires Macwisdom to purchase on their behalf, client agrees to pay quotation invoice in advance of work to be carried.
Invoicing 30 day credit terms – All invoices are subject to the following terms of business:
Please make full payment within the 30 days credit period from the date on this invoice.
You will be charged a late payment fee + daily interest at 8% over Bank of England Base Rate, for each invoice not paid in the credit period.
After a Formal note of Default, we have the right to commence legal proceedings without further notice at which time we will seek to recover these costs and legal fees.
We have the right to suspend all support and services outstanding until due payments are met.
Any payment returned by the bank or credit card company will incur an additional £25.00 administration charge

8. HELP, QUERIES, COMPLAINTS AND NOTICES
Any services or products which we supply must conform with our agreement with you. We do not offer any guarantees or support other than as specifically provided for within these Terms.
We are not bound by any trade or professional approved code of practice, code of conduct or alternative dispute resolution
Queries and complaints must be addressed in writing to the Managing Director within 30 days of services, using our postal address above. We aim to respond within 7 working days of receipt. If any cause of complaint may amount to a breach of any of these Terms and Conditions, then you must allow us 30 days to remedy that breach. You are not entitled to withhold any payment, or part thereof from us. Any complaints by you must be in writing.
In the event of a dispute between us, you agree to attempt to settle any dispute in good faith and will, as we request, by mediation before any arbitration or litigation is commenced.
Notices must be in writing by
(a) email, using our email address email@example.com. Notices by email are deemed to have been received on the day on which they were sent following a valid successful delivery receipt being retained by the sender OR
(b) by post to our address above and for you, using a tracked service where the sender retains details of posting and a signature is obtained from or on behalf of the addressee. Notices by post will be deemed to have been received on the date that Royal Mail obtains a record of receipt from or on behalf of the addressee.
You specifically agree that you can not transfer, sell or share any rights in any way and nobody else can benefit but you, without our express written consent.
Nothing in these Terms is intended to give any benefit to any third party (whether referred to herein by name, class, description or otherwise), or any right to enforce any Agreement with us.
You agree that nothing in these Terms will be deemed to create any partnership, joint venture or agency relationship between us.
Nothing in these Terms and no express or implied waiver by us in enforcing any of our rights shall prejudice our rights to do so in the future.
Each clause or any part at all of these Terms is to be regarded as independent of the others. This means that should any clause or any part at all of these Terms be found to be unenforceable or invalid, it will be severed and will not affect the enforceability or validity of the rest of these Terms or our Agreement.
10. JURISDICTION AND APPLICABLE LAW
These Terms and Conditions shall be interpreted, construed and enforced in accordance with English law and shall be subject to the exclusive jurisdiction of the English Courts.
